Legal Director Laureate Europe

Job Description

Reports to: President Mediterranean Region, CEO France & Germany, President Hospitality Art & Design and General Counsel Laureate
Location: Netherlands

The Legal Director will be a key partner to the business unit CEOs and CFOs in the development and implementation of business strategies that will result in the continued growth and profitability of the European universities by growing existing campuses and adding new campus locations to the business. The Legal Director will provide leadership and oversight for all areas of internal and external legal issues.

Specific Responsibilities:

The Legal Director will make a key contribution to the success of Laureate in a variety of areas:

The Legal Director will perform or supervise the Corporate Secretary functions for all the Laureate Europe entities.

The Legal Director will be involved in all aspects of merger and acquisition activity and will provide legal and business advice as a part of the senior management team. The Legal Director will work extensively with outside counsel, to develop letters of intent, buy/sell agreements, shareholder agreements, financing agreements, and conduct due diligence reviews. He/She will also provide legal counsel and direction to Europe’s business leaders across the different countries.

He/She will oversee the development and/or maintenance of the legal processes, policies, procedures, governance, compliance and systems that will support growth.

This individual will develop and review all employment and other business contractual agreements.

The Legal Director will oversee and provide policy guidance to the European universities and outside counsel for the universities.

Provide Laureate General Counsel with Quarterly reports and other requested reports and participate in all corporate legal meetings.

The main challenges for this position are:

A) Strengthen and maintain a best-in-class Legal function and team, including the development of a Legal pipeline of talent.
B) Draft and review all types of national and international contracts
C) Suggest, establish and enforce all legal policies and procedures including trademarks, copyrights, document retention, asset protection and any other legal issues.
D) Establish and improve relations with the Education Authorities, making sure that the European universities comply with all legal procedures that their accreditation and licensure requires
E) Establish a good cooperative working relationship with the other legal counsel in the Laureate Network.
Desired Skills & Experience

The main core competencies required:
Solid knowledge of the European Union and Turkey Law especially regarding contracts and corporate structure
Solid knowledge of the United States legal and financial requirements for public companies (Sarbanes Oxely, SEC, FCPA)
Knowledge of brands / branding
Experience managing and coordinating internal and external groups of people
Solid knowledge of corporate law, stockholder meetings, governance, etc.
Experience working in a multinational, fast-paced, matrix-environment, preferably with an American company, having reported to the USA and solid understanding of corporate requirements, including compliance


Other characteristics
Attorney at Law from one of the top Law schools in the European region or a top U.S. law school
Would be a plus but not a must to have an LLM
10-12 years of solid corporate experience at least some of which was in a multinational, although this is a guideline and not a limitation.
Excellent communications skills (verbal and written)
Solid knowledge and ability in written and spoken English
Fluent in French and Spanish or German or Italian or Portuguese
Able to work long hours under pressure in a very unstructured environment


Candidate Profile/Experience
The successful candidate will be a broad-gauged business person with depth in the region’s corporate law, operations, and mergers and acquisitions. He/She may come from any of a varietyof industries so long as the experience afforded the candidate significan texposure to international markets/companies.

The Compensation Package
The annual total compensation will competitive with the market (it will as well include a performance annual bonus).

Job Description

This position entails the provision of a full range of legal services to a number of operations and staff functions throughout Western and Eastern Europe, Africa and Middle East.
The activities in Europe are growing due to business volume growth as a result of substantial investments in innovation and technology and the expansion into new geographical areas and development of new products for existing and new markets.

Reporting Relationship:
Reports to the Vice President & Assistant General Counsel Europe, Middle East, Africa and Latin America. The law department consists of two senior attorneys, who are generalists, and a number of semi-senior and junior attorneys. There is one Paralegal and one administrative assistant.

Responsibilities:
Provide a high level of quality legal service in a wide range of areas including: corporate, mergers and acquisitions, divestitures, intellectual property, employment, labor relations, commercial contracts, real estate, environmental, transaction services including drafting and negotiating commercial agreements such as joint development agreements, distribution agreements, purchase agreements, supply agreements, agency agreements and information technology agreements, and together with the I/P attorney: license agreements, secrecy agreements and consulting agreements.

Litigation services including advising the clients regarding potential and pending litigation; selecting and managing outside counsel and the course of the litigation, settlement agreements.
Managing product liability risk of the Corporation and subsidiaries through developing, implementing and maintaining standard sales and purchasing conditions, handling of claims, and coordination with the Risk Management Department and insurance carriers
Constant interaction with business leadership and exposure to business objectives, goals and strategies to gain knowledge and provide business oriented legal advice.
This position calls for regular travel mainly throughout EMEA but also to the U.S.A.

Desired Skills & Experience

Candidates must possess a law degree (Post Graduate Degree is appreciated).
Minimum of 4-7 years of Corporate/Commercial experience in a well known law firm or international manufacturing or consumer products company.
Strong communication skills.
Energetic and pro-active, business oriented approach.
Fluent in English both written and spoken
